Foundation law

In many respects, foundations are a special, unique form of organisation. Ignorance of regulations can lead to incorrect decisions and sometimes also to liability for damages. We are regularly engaged to handle all possible matters relating to foundations, from their formation onwards. When a foundation has been formed, issues arise from time to time, for example adaptation of the object, permutation in other respects, types of contribution, conditions for retaining tax benefits and board responsibility. We also help foundations with their internal management and their contacts with supervisory authorities and the Swedish Legal, Financial and Administrative Services Agency.

Here at Sigeman & Co, I work on general commercial law with the focus on matters that primarily concern company and foundation law and commercial contract law. I am regularly engaged to provide advice on commercial law matters, particularly in projects concerning company and property transactions, investments and raising capital, and also IT law and data protection. I have extensive experience of negotiating and drafting contracts in both Swedish and English. Over my years of experience as a lawyer, I have built up specialist expertise and industry knowledge in matters of importance to companies involved in healthcare, social care and education.

I give lectures in my specialist areas as often as possible. I believe it to be important to raise the level of public knowledge of commercial law and the exercise of explaining the law is beneficial to me, which also helps you when you are my client. I am also involved as a board member of Clownronden, a charity providing clowns for hospitals.

Apart from providing legal advice, I regularly hold lectures and seminars in my subject areas, both for clients and also externally via various partners. Over the years, I have held a number of posts for the Swedish Bar Association. I was a member of the main board from 2004 to 2010, and previously secretary, board member and vice chair of the department for southern Sweden. I have also led courses in legal ethics and have been an examiner for law examinations.

Law may very well be enjoyable and interesting in itself, but to a lawyer it should primarily be a tool for finding and achieving practically feasible solutions for the client, whether it be in negotiations, disputes or other circumstances. Sustainable solutions can reasonably only be found if we familiarise ourselves with you, our clients, and understand your business and reality.

My experience essentially concerns commercial law in a broad sense. My primary focus today is partly on corporate law (with regular assignments as special examiner, and as trustee or arbitrator in connection with redemption of shares), and partly on public procurement and competition law (with more than 25 years of experience of advising and assisting contracting authorities and suppliers). In the field of distribution, I work primarily on international agent and distribution contracts. I am also pleased and grateful that I am regularly engaged for advice and board positions in foundations. I give regular lectures in the above subject areas.

Internationally, I am involved in the European Law Group, a network of commercial law firms in Europe, am engaged by the EU Commission as an expert in relation to innovation procurement and I am the Swedish representative of the International Distribution Institute (IDI), an international body working in agent, distribution and franchise law.

I have been a member of the Swedish Bar Association since 1991 and co-founded Sigeman & Co later the same year.
